Article I Name and Location

 

The name of this organization is Hoonah.Net. Hoonah Net is a Domestic Nonprofit Corporation registered with the State of Alaska. The principle place of business is Hoonah, Alaska, 99829.

 

 

Article II Purpose

 

The goal of Hoonah.Net is to provide Internet service to the community of Hoonah and the surrounding area.

 

 


 

Article III Membership of the Board

 

Section 1.  Directors  

 

a.       A Board of five directors shall manage the corporation. All five Board members must be members of Hoonah.Net. To be eligible for nomination to a seat on the Board of Directors, you must meet the following criteria:

 

1.      Maintain current, individual membership in good standing, or

 

2.      Be nominated in writing, by an employer, manager or administrator, as a representative of a group with current Hoonah.Net membership as the sole representative of said group, business, organization, network or institution in good standing.

 

b.      An “institutional” member must be a full time employee of the group who nominates them. In the event that full time employment status ends, the institutional board member’s term shall cease.

 

c.       There shall be no more than one person representing a given institution.

 

d.      In no case shall there be more than one person from any single household or immediate family unit. Family unit shall be defined as: mother, father, sister, brother, spouse, domestic partner, or any other person living in the same house whether biologically related or not.

 

e.       Should a member (or their institution in the case of institutional representation) who serves on the Board of Directors fall in arrears of membership fees, they shall be considered “Not in good standing” at the time a late payment fee is scheduled according to the User Agreement. If all fees have not been paid and a “disconnect” becomes necessary (as specified in the User Agreement), the member shall be notified that they have a period of five days in which to pay all late fees, membership fees, late payment fees or other amounts due or past due. Failure to pay all said fees will result in removal from the Board of Directors. The resulting vacancy will be filled by Board action in a timely manner at the discretion of the remaining board members at the next meeting.

 

f.        Eligibility for the Board of Directors shall be denied to anyone who has violated the User Agreement resulting in denial of Hoonah.Net membership by directive of the Board.

 

 

Section 2. Term of Office

Board members shall serve three-year terms. If a vacancy occurs within a member’s term, nominations for the vacancy will be solicited from the Administrator and the remaining Board members .The position will be filled by a vote of the Board. The replacement board member shall serve on the Board until the next regular yearly election at which time that position is filled for the remainder of that term.

 

Section 3. Elections

 

Board members are elected to the board for terms of three years.  The board will solicit nominations to fill expiring board positions via email on September 10th of each year.  The nomination period will close on September 20th.

 

Nominations for membership on the board can be made by any Hoonah.Net member in good standing.  Nominees will be notified by the Administrator via email on September 21st, and each nominee will have until September 25th to accept the nomination via email.

 

The Administrator shall compile a list of candidates and email the official ballot to all Hoonah.Net members on September 27th.  Each member may cast one vote for each of the open board positions by replying to the email ballot within 7 days.  The Administrator will tally the votes and the top vote getter(s) shall be elected to the board.

 

Officers for the board shall be elected at the October Board meeting.  Nominations for officers shall be made by the Board members.  Officers shall serve a one-year term.

 

 by September 18 one weekfive (except for the administrator)  a special meeting in Septemberfrom the floor, and all voting Hoonah.Net members in attendance shall get one vote.

 

Section 4. Duties of Officers

 

President

            The president shall be the chief executive officer of the board. He/she shall preside at all meetings of the organization, set meeting dates, write Board agendas and generally perform the will of the Board. When necessary, the president shall delegate duties to Board members.

 

Vice President

            The Vice President shall serve as president in his/her absence.


 

Section 4. Duties of Officers, continued

 

 

Secretary/Treasurer

            The secretary/treasurer shall be responsible for taking minutes, keeping written records of all meetings, writing any necessary correspondence, and providing documents to the Administrator in electronic form. Correspondence should be in the form of email, whenever possible. 

 

Board Members

            All board members will be expected to check their email accounts at least once a week to ensure the receipt of board correspondence and business. Board members shall maintain their membership dues throughout their term on the Board.

 

 

Article IV. Meetings

 

Section 1: Schedule

The board will meet monthly. The president may call special meetings as needed.

 

Section 2: Notification

Written notice via the Board’s mailing list shall be sent to all members of the Board in advance of all meetings, giving the date, time and place of the meeting. A meeting agenda shall be posted on the Hoonah.Net’s web site at.

 

Section 3: Quorum

A quorum of the board shall be three members. A vote will pass with a simple majority of voting Board members present.

 

Section 4: Non-formal meetings

Official business may also be conducted through the board’s mailing list.

 

 

Article V. Amendments

 

Amendments to the by-laws may be made at any meeting by a majority of the entire board provided that the proposed amendment was submitted in writing via email to the Board at least seven days prior to the date of the meeting.

 


 

Article VI. Funds

 

The fiscal year shall begin on January 1 of each year and shall end on December 31st that year.

 

Funds for routine operation, maintenance and administration shall be disbursed at the discretion of the administrator with the caveat that any expenditure greater than $500.00 must be approved by a vote of the board.

 

In the event that Hoonah.Net as an organization is dissolved, the Board shall, after all outstanding debts have been paid, liquidate Hoonah.Net’s remaining property and donate the entire balance of its funds to the Hoonah Liquor Board[1] for disbursement at its discretion for the good of the community of Hoonah.

 

 

Article VIII. Parliamentary Procedures

 

Robert’s Rules of Order shall govern the proceedings of the Board not otherwise specified by the By-laws.

 

 

Article IX. Liability

 

The private property of the board members shall be exempt from execution or other liability upon the debts of the corporation. No board member shall be held liable or responsible for any debts or liabilities of Hoonah.Net to the fullest extent permissible under the laws of the State of Alaska.



[1] The Hoonah Liquor Board is an elected board that governs and distributes net “profits” of the city-owned nonprofit Hoonah Liquor Store to local youth groups, community organizations or educational institutions for the betterment of the community of Hoonah.
